Permission is granted to temporarily access the materials (information or software) on Holgrex's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title. Under this license, you may not:

When engaging Holgrex for development services, the following terms apply:

• Payment schedules and terms are specified in individual project agreements

• Invoices are due within the timeframe specified in your agreement (typically 15-30 days)

• Late payments may incur interest charges and may result in suspension of services

• All fees are non-refundable unless otherwise specified in the project agreement

• Clients are responsible for all taxes applicable to the services provided

• We reserve the right to modify our pricing with reasonable notice for ongoing engagements

Both parties agree to maintain confidentiality of proprietary and sensitive information:

• We will protect your confidential business information and project details

• You agree to keep confidential any proprietary methodologies or tools we share during engagement

• Confidential information excludes publicly available information or information obtained from third parties

• Confidentiality obligations survive the termination of our business relationship

• Specific confidentiality terms may be outlined in individual non-disclosure agreements

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose

You agree to defend, indemnify, and hold harmless Holgrex and its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any third-party rights, including intellectual property rights

• Your use of our services in any unauthorized manner

• Any content or data you submit, post, or transmit through our services

• Your negligent or wrongful conduct in connection with our services

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms of Service. Upon termination:

• Any provisions of these Terms that should survive termination will remain in effect

• We are not liable to you or any third party for any termination of your access

• For project engagements, termination provisions in project agreements will also apply

• Outstanding payments for services rendered remain due and payable

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction in which Holgrex operates, without regard to conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the appropriate courts of that jurisdiction, and you consent to personal jurisdiction and venue in such courts.

We reserve the right to modify or replace these Terms of Service at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

If any provision of these Terms of Service is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on our website, constitute the entire agreement between you and Holgrex regarding your use of our services and supersede all prior and contemporaneous written or oral agreements between you and Holgrex. For specific project engagements, additional terms in project agreements or statements of work will supplement these Terms.
